ACLA and Lovells International Law Firm ("
Lovells ") are pleased to present the first volume
of ACLA-Lovells Template Contracts and Legal Memoranda Series ("
Templates "), prepared as part of the ACLA -
Lovells Legal Skills Training Series (" Training Series
"). Since its inception in early 2003, through live
seminars, video and audio presentations, as well as written
materials, the Training Series have covered skills ranging from
contract/memo drafting, commercial negotiation, law firm management
and corporate law department management.
These Templates are based on the
course materials for a four-day Advanced Seminar on Contract and
Legal Memo Drafting in March of 2004, given by Robert
Lewis of Lovells (Foreign Expert on the ACLA Education
Committee) and John
Jiang of EastBright (Director of the Training Series). They
recently finalized these Templates after incorporating comments and
suggestions from many experienced Chinese and international lawyers.
These Templates consist of a basic contract framework and four
commonly used contracts
(bilingual) for cross-border transactions, related drafting
notes, and sample legal
memoranda for doing business in China.
China has accelerated its integration
into the world economy in the post-WTO era, and become the largest
recipient of foreign direct investment in the year 2003. The
increasing volume of cross-border transactions in China has brought
an increased need for corresponding transactional legal service,
which plays a vital role in the successful completion of a
cross-border transaction. We hope these Templates can provide a
useful starting point for document drafting in cross-border
transactions in which you are involved.
Over the years, Lovells has provided
generous support to the training of Chinese legal professionals,
including the establishment of an ACLA-Lovells Legal Training Fund.
In particular, Robert Lewis and John Jiang have taken time from
their busy practice to prepare over a thousand pages of bilingual
training materials, and have delivered lectures to over 2000 legal
professionals from all over China in 250 hours of live sessions.
Through their unrelenting effort, now the first volume of
ACLA-Lovells Template Contracts and Legal Memoranda Series is made
available to legal practitioners and business people all over the
